Project Terms & Conditions



By signing this document the client hereby authorize [Fe]™ (employees, subcontractors, and representatives) to engage in the business of building/remodeling/updating a website, creating a graphic, or designing any type of printed or digital project in the client’s name or in the name of the company the client represents. The client also authorizes the access of graphics, content and/or servers that are reflected in the project.

Services & Project Length

Services for all types of needs are explained on the invoice, detailed task sheet or proposal. End of service may be determined by final and full payment unless so noted. Service may only begin after invoice or proposal is signed and payment is acquired unless noted. Third party service may be acquired by client or [Fe]™ (ex. hiring a print shop to print artwork). If [Fe]™ acquires the service a fee may be applied for third party services. This fee will reflect the service charge acquired by [Fe]™ and may reflect a processing fee. Project lengths are stated in the proposal.


Payment of services may either be paid by full amount, half and half or by monthly payments as agreed upon by the representative and client. Full payments reflect either the beginning of service or end of service as shown on invoice, detailed task forms or proposal. Half and half payments reflect, first, the initial deposit that marks the beginning of service and, secondly, the final payment that marks the end of service. Initial deposit may be 50% or more than the full estimated amount. Monthly payments are agreed upon by the representative and the client. Monthly payment schedules are subject to an initial deposit that will be determined by a representative. End of service date may not reflect end of payment schedule.


Prices are subject to the approval of the client. [Fe]™ reserves the right to refuse service if client does not approve price(s). Proposals may be requested by the client. Proposal prices are an estimated amount and may not reflect final price unless so noted in the proposal. Estimated prices are subject to change. Final proposal prices are subject to change after 30 days from quote. If documents are not signed before the expiration date all forms must be updated even if quoted prices are not changed. Fees may be attached to the price, but must be stated in proposal, invoice, or detailed task sheet. Fees include: meetings, revisions, copyrights, and third party charges.

Late fees

Late fees apply if payment is or isn’t received after due date. All mailed payments must have a postmark of due date, or sooner, or a late fee of $15 USD will be added. Initial deposits are not subject to late fees as these signify the beginning of a project. Monthly payments and final payments are subject to late fees. If the balance remains unpaid for 30 days after the due date then a 5% charge will be added. This 5% charge will be added every month thereafter that the balance remains unpaid. [Fe]™ reserves the right that content, graphics and/or websites may be pulled from public viewing until the balance is settled or an agreement is met. If collection services become necessary the client agrees to the fees that service may incur.

Damages or Loss

[Fe]™ does not guarantee that any projects will forever be interrupted or error-free. Furthermore, [Fe]™ is not responsible for any damages or loss of data incurred by a foreseen or unforeseen accident caused by viruses, server shut-down, freak accidents, inability of the client to operate the project, or third-party acts or neglect thereof. Any attempts by [Fe]™ to recover/rebuild any damaged or lost projects are subject to charges.


The client guarantees [Fe]™ that all content, graphics (printed or digital) or any other elements submitted to [Fe]™ for the sole purpose of the project are owned by the client or the client has permission from the rightful owner to use the material and will hold harmless, protect, and defend [Fe]™ and its subcontractors from any claim or suit arising from the use of such elements furnished by the client. All websites, graphics (printed or digital) and content created by [Fe]™ are property of [Fe]™. Copyright fees may apply for proper registration of graphics to the client. Copyrights may be turned over and left at the hand of the customer by [Fe]™, but must be so noted by the representative in the invoice, detailed task sheet, and/or proposal. [Fe]™ reserves the right to display customer projects in a portfolio manner either on the website, in a brochure or poster, catalog or magazine, presentation, and/or in any printed or digital format.

Laws Affecting Electronic Commerce

From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The client agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend [Fe]™ and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client’s exercise of Internet electronic commerce.
